If you register as a contractor, manufacturer, retailer, or other professional user, you represent and warrant that you possess all necessary licenses, certifications, and insurance required to perform your professional services in your jurisdiction.

Permitted Use

You may use Fireplace Registry to:

• Create and manage digital fireplace registries
• Store and access fireplace specifications and maintenance records
• Connect with certified contractors and manufacturers
• Generate safety inspection reports and work orders
• Access educational resources and support materials

Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Provide false, misleading, or inaccurate information
• Impersonate any person or entity
• Interfere with or disrupt the platform's operation or security
• Attempt to gain unauthorized access to any part of the platform
• Use automated systems (bots, scrapers) without our written permission
• Transmit viruses, malware, or other harmful code
• Harass, abuse, or harm other users
• Use the platform for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of our services

Your Content

You retain ownership of all content you submit to Fireplace Registry, including fireplace specifications, photos, measurements, and other data ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your content solely for the purpose of providing our services.

Content Responsibility

You represent and warrant that:

• You own or have the necessary rights to all User Content you submit
• Your User Content does not violate any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable laws

Content Removal

We reserve the right to remove or modify any User Content that violates these Terms, infringes on third-party rights, or is otherwise objectionable, without prior notice.

Platform Role

Fireplace Registry serves as a platform to connect property owners with contractors, manufacturers, and other professionals. We do not provide fireplace installation, maintenance, or repair services directly. We are not responsible for the quality, safety, or legality of services provided by third-party professionals.

Professional Verification

While we make reasonable efforts to verify the credentials of professional users, we do not guarantee the qualifications, competence, or reliability of any contractor, manufacturer, or service provider on our platform. You are responsible for conducting your own due diligence before engaging any professional services.

Direct Relationships

Any agreements, transactions, or disputes between you and third-party professionals are solely between you and them. We are not a party to such relationships and bear no responsibility for any issues that may arise.

Fees and Billing

Certain features and services may require payment of fees:

• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• We may change our fees with 30 days' notice

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

Payment Processing

We do not warrant that:

• Any defects will be corrected

Safety and Compliance

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIREPLACE REGISTRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use our services will immediately cease.

Termination by Us

We may suspend or terminate your account and access to our services at any time, with or without cause or notice, including if:

• You violate these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• We decide to discontinue our services

Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.

Informal Resolution

Before filing a formal claim, you agree to contact us and attempt to resolve any dispute informally. We will work in good faith to resolve the matter.

Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Santa Clara County, CA. and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Santa Clara County, CA. without regard to its conflict of law provisions.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fireplace Registry regarding our services and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
